Unspent’s Terms of Service

Object and acceptance

These terms of service (“Terms”) define the terms and conditions that govern your use of the services provided by Unspent (“Company” or “we”) through its website located at https://unspent.io (the “Site” or “Service”).

By using the Site, you declare having read, understood, accepted, and to comply with these Terms. These Terms apply to everyone visiting, using, or otherwise interacting with the Site. We may update those Terms at any time, and will give you advance notice of at least 30 days when we do, by email and/or showing a notice on the Site. Note that changes made for new features or legal reasons may apply immediately. If you do not agree with any changes made to those Terms, you should stop using the Service.

Using our service

By using the Service, you must abide by the law and by any policies and conditions set forth by the Service.

The Site, its features and contents are the exclusive property of Unspent. Access to these features and content does not grant your any ownership in them. Reproducing, representing, or extracting any of the Site’s materials without prior written consent from Unspent is not allowed. Brand assets and feature screenshots may be used for media coverage and recommendation purposes; their use by third-party services or entities for other purposes requires prior written consent from Unspent.

You must not abuse the Service, and/or use it for other purposes than the ones intended, including but not limited to:

  • Using the Service for unlawful purposes;
  • Accessing or tampering with the Service’s server systems;
  • Interfering with or disrupting the access of any user or network system/participant;
  • Abusing or submitting excessively frequent requests to the Service.

We may give written consent for performing security research and testing for the purposes of responsible disclosure if such research does not negatively impact the experience, privacy, or security of our users, customers, or the Service and other parties in general. Please contact us for such consent if you’d like to do so.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Accounts and subscriptions

Access to Unspent’s features requires the creation of an account. The information you provide for this purpose should be accurate, complete, and up to date; it is your responsibility to keep this information up to date if it comes to change.

When creating such an account, you are required to check a checkbox labelled “I agree to the Terms of Service” (exact copy may be updated and remains binding as long as meaning and clarity are preserved). Checking this checkbox and registering irrevocably and explicitly shows that you have read, understood, and accepted the Terms, and is legally binding. You can choose to stop using the Service at will.

Without an Unspent account, a number of functionalities, features and information are available for free. The remaining functionality, features and information are accessible only with an Unspent account. New Unspent accounts benefit from a 30-day trial period, after which a yearly subscription is required to keep using this account. Unspent may add of remove functionalities, features and information when improving, changing, and/or updating the Service. Information about available features, and pricing for the Unspent subscription, is available on the landing page: https://unspent.io (when logged out).

All prices shown on this page are inclusive of any applicable sales taxes, levies, value-added taxes, or duties imposed by taxing authorities, and you are responsible for the forwarding/remittance of all such taxes, levies, or duties (except for E.U. Customers, where pricing includes mandatory E.U. VAT charges).

When choosing our paid Service, you can choose to pay using a credit card or a cryptocurrency transaction. Depending on what payment method you choose, the payment form may ask you to provide additional information. The information you provide for this purpose should be accurate, complete, and up to date.

If you choose to pay using a credit card, payments are secured using Stripe (https://stripe.com), and the subscription to our paid Service will automatically renew at the end of the billing cycle (every year), under the same conditions as your initial subscription. You may choose to cancel (or re-enable, once canceled) this automatic renewal of your subscription on the following page: https://unspent.io/billing. If the payment method cannot be successfully charged at the end of the period, the subscription will not be renewed.

If you choose to pay using a cryptocurrency transaction, your subscription will be valid for one year, and will not be automatically renewed.

The enabling of your paid subscription (in other words, its delivery) will take place as soon as the payment is successfully received by our Service. Refunds may be considered on a case by case basis by the Company.

Unspent may change the price of our paid Service at any time. If this change applies not only to new customers, but also to existing ones, Unspent will give existing customers ample time to review these changes, and explicitly accept them before being automatically charged the new amount; the new amount would never be charged without explicit prior consent of said customer.

Unspent may suspend or stop the Service with at least 30 days notice before complete shutdown of the Service. In such an event, Unspent would refund any paid subscriptions that would have expired after the shutdown date, using prorata calculations to reimburse the equivalent of the unused period of time. Unspent would also provide at least one way to export and download your personal information before the Service shuts down.

Limitation of liability

Unspent provides tools and information whose purpose is to help with crypto-assets investing and portfolio management. They should not be considered investment advice, and any investment decision you might make must be your own, and is entirely your sole responsibility.

To the maximum extent permitted by law, the Service is available “as is”. You expressly understand and agree that:

When permitted by law, Unspent and its service partners, licensors, directors, employees, agents, affiliates will not be responsible for any lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages under any circumstances.

Your use and/or purchase of Service are all at your sole risk. The Service is provided on an “as is” basis.

Unspent, even if it aims to, does not warrant that:

  • The Service will meet all of your requirements at all times;
  • The Service will be error-free and all errors in the service will be corrected;
  • The Service will be uninterrupted.

All content downloaded, uploaded and/or otherwise obtained through the use of the Service is done at your own discretion and risk and you are solely responsible for any damage to your computer equipment or devices, including but not limited to, laptop computers, desktop computer, tablets, smartphones, or any data loss resulting from download or use of any such above mentioned material.

Our Service may contain links to third-party web sites or services that are not owned or controlled by Unspent.
Unspent has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that unspent shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

Governing law

These Terms shall be governed and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any dispute relating to the interpretation and execution of these conditions shall be subject to the exclusive competence of the French courts.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
